Terms of Use
1. Acceptance of these terms
These Terms of Use ("Terms") govern your access to and use of the vestead.app website (the "Site"), operated by IVK Tech Corp, a Delaware corporation, doing business as Vestead ("Vestead," "we," "us"). By accessing or using the Site you agree to these Terms and to our Privacy Policy and Disclosures, which are incorporated by reference. If you do not agree, do not use the Site.
2. The Site is informational; platform services require a separate agreement
The Site describes Vestead's business-to-business platform for informational purposes only. Use of the platform itself — including any submission, verification, routing, or tracking of transaction files — is available only to businesses that have completed onboarding and entered into definitive written agreements with IVK Tech Corp. In the event of any conflict between these Terms and a signed platform agreement, the signed agreement controls with respect to platform services.
3. No offer
Nothing on the Site constitutes an offer of credit, an offer to sell or a solicitation of an offer to buy any security, or investment, legal, tax, or accounting advice. The Site is directed at prospective business partners, not consumers. See our Disclosures.
4. Eligibility and business use
The Site is intended for use by individuals acting on behalf of a business. By using the Site you represent that you are at least 18 years old and are using the Site in a business capacity.
5. Intellectual property
The Site and its content — including text, design, graphics, logos, and the Vestead™ wordmark — are owned by IVK Tech Corp or its licensors, including WishKnish Corp., and are protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to view the Site for your internal business evaluation. No other rights are granted. You may not copy, modify, distribute, create derivative works from, scrape, frame, or reverse engineer any part of the Site without our prior written consent.
6. Acceptable use
You agree not to: (a) use the Site in violation of applicable law; (b) misrepresent your identity, licensure, or authority; (c) interfere with the operation or security of the Site; (d) use automated means to access the Site except ordinary search-engine indexing; or (e) use any content from the Site to state or imply an affiliation with, or endorsement by, Vestead without a written agreement permitting it.
7. Submissions
If you send us an inquiry through the Site or by email, you represent that you have the right to share the information you send and that it does not include consumer nonpublic personal information unless we have expressly requested it under an agreement that covers it. Unsolicited ideas or suggestions are received on a non-confidential basis.
8. Third-party sites and services
The Site may reference or link to third-party websites or services. We do not control and are not responsible for them, and a reference or link is not an endorsement.
9. Disclaimer of warranties
THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED AVAILABILITY. INFORMATION ON THE SITE MAY BE UPDATED OR CHANGED WITHOUT NOTICE.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IVK TECH CORP AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
11. Indemnification
You agree to indemnify and hold harmless IVK Tech Corp and its officers, directors, employees, and licensors from claims, damages, and expenses (including reasonable attorneys' fees) arising out of your violation of these Terms or your misuse of the Site.
12. Governing law and venue
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. Any dispute arising out of these Terms or the Site will be brought exclusively in the state or federal courts located in Delaware, and you consent to their jurisdiction.
13. Changes to these terms
We may update these Terms from time to time. The "Last updated" date above reflects the most recent version, and continued use of the Site after changes are posted constitutes acceptance of the updated Terms.
